(Ram Technologies) This Company designs and manufactures highly specialized electronic components used by numerous manufacturers for the healthcare industry as well as other specialized uses. One of their niches is manufacturing power supply components, cables, and accessories for medical equipment – specifically echocardiograms. They are an ISO 9001 certified facility and a Tier One supplier to several major manufacturers that use these components exclusively to manufacture and assemble their finished products. We spoke to some companies in the industry that made offers, but the best offer came from an individual that we had a prior relationship with that was looking for this type of company.

Procurement Services & Supply Chain Solutions Company

(Iberel, Inc.) This company provides services to multinational corporations that want to reduce their supply chain costs with procurement solutions. They also provide efficient importing solutions and have relationships with suppliers and industry-specific knowledge within technology, electronics, medical, aerospace, and more. They were able to reduce purchasing costs for their clients. The owner had purchased the business 30 years ago and was ready to retire. We found a buyer that had come out of the corporate world and purchased multiple businesses. He agreed to pay full price for the business and we closed on the sale in less than 6 months from start to finish.

Internet Machine Shop Contract Manufacturer

A company that manufactures printed circuit boards (PCBs) and parts for cars, robots, jewelry, watercraft, sporting equipment, and more. The customer can provide their specifications over the internet, and the company can quickly turn around custom made parts and components in metal or plastic. We found a strategic buyer that was also in a similar business and felt that they could cross-sell each other’s customer base. They were willing to pay a higher multiple to acquire the company.

MSP Cloud Computing AWS Reseller & Consulting Services

Company that designs, builds, and deploys Cloud computing Solutions. They are an Amazon Web Services reseller and consultant helping clients implement these solutions. They provide managed services and IT Services Consulting. We had a number of potential buyers as we do with all of our tech clients. The winning bidder was a group of individuals who had experience in the technology sector. We got the business pre-approved for bank financing, and the deal was closed in about 6 months from start to finish. In addition the buyers gave the sellers an opportunity to earn more money after the sale.

Telecomm Fiber Optic Infrastructure Contracting Company

A company that provides installation, troubleshooting, maintenance, and auditing of fiber optic and cable systems for telecom systems. The firm had just been awarded a massive long-term contract with a giant in the telecom industry. This contract led to a lot of uncertainty as many buyers won’t ascribe much value to future earnings. However, we felt that the business could attract strategic buyers who would benefit from creating economies of scale and, therefore, be willing to pay a much higher multiple. We received robust interest from the start and had multiple offers from both the Private Equity community and strategic buyers within the first couple of weeks. Ultimately, we went with a strategic buyer and many negotiations, and an agreement was reached to obtain consent for assignment from its primary customer, representing nearly 75% of total revenues. The deal was structured as an 80% cash at close and 20% equity rollover, and we got a very healthy 4.8x multiple of Cash flow. The business was sold in less than 6 months from when the owner first contacted us to inquire about selling their company.

SaaS company with Media Industry clients

This deal involved the sale of a SaaS that offers cloud-based software solutions (mainly royalty fee calculations) for small US broadband and TV communications service providers. After an intensive process of LOI negotiations (over 15 offers), a specialized SaaS financial sponsor had the winning bid, with the total valuation exceeding the seller’s expectations by 20%. One of the challenges in the deal was attributed to the significant partner concentration, the company’s cable operators’ customers, and their associated risk of the declining underlying industry. IT Services to improve the workflow of Buying Groups and Co-Ops. 3. Business Process Re-Engineering (BPR). 4. Testing Automation. 5. Digital Process Automation. The owner was ready to retire. As with all of our IT assignments, there were plenty of interested buyers. It took some time to narrow the potential buyers down and work with the ones that were most interested and qualified.
